Terms and Conditions For weholi Memberships

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES AND OBLIGATIONS. THESE INCLUDE VARIOUS LIMITATIONS AND EXCLUSIONS, A CLAUSE THAT GOVERNS THE JURISDICTION AND VENUE OF DISPUTES, AND OBLIGATIONS TO COMPLY WITH APPLICABLE LAWS AND REGULATIONS.

IN PARTICULAR, MEMBERS OFFERING VACATION PRODUCTS SHOULD UNDERSTAND HOW THE LAWS WORK IN PARTICULAR, MEMBERS OFFERING VACATION PRODUCTS SHOULD UNDERSTAND HOW THE LAWS WORK IN THEIR RESPECTIVE CITIES. SOME CITIES HAVE LAWS THAT RESTRICT THEIR ABILITY TO HOST PAYING GUESTS FOR SHORT PERIODS. THESE LAWS ARE OFTEN PART OF A CITY'S ZONING OR ADMINISTRATIVE CODES. IN SOME CITIES, HOSTS MAY BE REQUIRED TO REGISTER, GET A PERMIT, OR OBTAIN A LICENSE BEFORE LISTING A PROPERTY OR ACCEPTING GUESTS. CERTAIN TYPES OF SHORT-TERM BOOKINGS MAY BE PROHIBITED ALTOGETHER. LOCAL GOVERNMENTS VARY GREATLY IN HOW THEY ENFORCE THESE LAWS. MEMBERS OFFERING VACATION PRODUCTS SHOULD REVIEW LOCAL LAWS BEFORE LISTING ON THE weholi PORTAL.

1. Provider, description of offer, applicability of Terms and Conditions

(1). The weholi portal is operated by weholi ag, Zentrum-Staldenbach 5, CH-8808 Pfäffikon, telephone: +41 55 415 88 80, e-mail: legal@weholi.ch (hereinafter: "weholi").

(2). The portal is available to consumers who are 18 years or older (hereinafter: "Users") If you are not 18 years old, you are prohibited from using the weholi portal. By accessing or using the weholi portal you represent and warrant that you are 18 or older. Users who have entered into a membership agreement with weholi (hereinafter: "Members") may post listings on the portal for their timeshare rights, vacation ownerships, right to use, use licenses, destination points, fractional ownerships, Hapimag shares/points, serviced apartments, hotel apartments, hotel condominiums, holiday flats, vacation homes, long-term holiday products and part-time residential rights etc. (hereinafter: "Vacation Products") and use the weholi portal as a forum on which to offer these for rent, or sale, depending on their specific membership. Furthermore, Members may rent Vacation Products from other Members and obtain information on sales offers. weholi itself does not sell, buy, rent, exchange, appraise or auction or offer to sell, buy, rent, exchange, appraise or auction any Vacation Products or other property on its own behalf or on behalf of any other person, or perform any listing, assistance or negotiation in connection therewith, but only makes available the technical portal as a forum for third-party offers. The rent or sales agreements are concluded directly between the Members and Users only. The Members themselves are responsible for their listings on the weholi portal. weholi will not review the adverts with regard to their lawfulness, correctness and completeness, and is not responsible for and disclaims any responsibility in connection with these listings.

(3). These Terms and Conditions shall apply to Memberships between weholi and Guests and Members residing in the Americas (Canada, USA, Mexico, Central America and South America) for all types of use of the portal (e.g. via the website, apps for mobile telephones (hereinafter: "Applications"), etc.). By accessing and using the weholi portal, each User agrees to be bound by these Terms and Conditions. By registering with weholi and by accessing the weholi portal on a continuing basis, each Member agrees to be bound by these Terms and Conditions.

2. Membership Subscription

(1). Users may register with a valid e-mail address or a third-party account (e.g. Facebook, Google+) (as applicable, the “Provided Address”) for a free guest membership. For this purpose, the User must submit additional his/her first name and family name, country and state/province of residence and choose a password. During registration, Users must declare their consent to the application of these Terms and Conditions. By clicking on the "Sign up" button or - if registration is done via a third-party account - on the button "Sign up with Facebook" or "Sign up with Google", the User submits a request for membership with weholi. Following this, the User receives an e-mail confirming registration as a “Guest Member.” This constitutes the acceptance of the User's offer by weholi, and a Membership Agreement with weholi will then be completed. The text of the Membership Agreement will be sent to the User in the confirmation e-mail. This registration gives the User a guest membership.

(2). The User also has the option of buying a fee-based membership (Classic, Premium, Platinum). For this purpose, he/she must select the desired term of membership type and enter the invoice address and the preferred payment method. Entry errors can be detected on the last page of the order and can be corrected by entering new data. By clicking on the button "order now", the User issues a binding offer for the conclusion of a paid membership subscription with weholi. Following this, the User receives an e-mail confirming the order. This constitutes the acceptance of the User's offer by weholi, and the paid membership subscription with weholi will then be completed. The text of the paid membership subscription will be sent to the User in the confirmation e-mail.

(3). Users wishing to buy a Professional membership are asked to please directly contact weholi.

3. Memberships and scope of services

(1). With a free registration, the User obtains a guest membership with weholi. The Guest Member is able to rent the Vacation Products offered by other Members and to contact Members offering their Vacation Products, without any restrictions.

(2). The User also has the option of entering into various fee-based memberships with varying scopes of services.

  1. Classic: With a Classic membership, the Member is able to rent the Vacation Products offered by other Members and to contact Members offering their Vacation Products for sale. Furthermore, the Member can offer various Vacation Products per year belonging to the Member or his/her family, for rent or sale, resulting in a maximum of one transaction during the term of membership. A voluntary verification of the offered Vacation Product ownership is recommended.
  2. Premium: With a Premium membership, the Member is able to rent the Vacation Vacation Products offered by other Members and to contact Members offering their Vacation Products for rent or sale. Furthermore, the Member can offer various Vacation Products per year belonging to the Member or his/her family, for rent or sale, resulting in a maximum of three transactions. A voluntary verification of the offered Vacation Product ownership is recommended. Also, the Member may use the reporting tool.
  3. Platinum: With a Platinum membership, the Member is able to rent the Vacation Products offered by other Members and to contact Members offering their Vacation Products for rent or sale. Furthermore, the Member can offer various Vacation Products per year belonging to the Member or his/her family, for rent, exchange or sale, resulting in maximum ten transactions during the term of membership. A voluntary verification of the offered Vacation Product is recommended. Also, the Member may use the reporting tool and top listings.
  4. Professional: The Professional membership is directed at companies, developers, home resorts, management companies, administrative management companies, hotel groups and agencies. The Member is able to offer 100 Vacation Products for rent or sale, and to incorporate its own logo into the listings. The Vacation Products do not have to be owned by the Member, but may also belong to third parties. A voluntary verification of the offered Vacation Product is recommended. Also, the Member may use the reporting tool and top listings, and set up its own agency portrait page.

(3). weholi offers a variety of functions for the verification of data entered by the Members. Nevertheless, and in spite of additional security measures, weholi does not guarantee or warrant that the data stored at weholi is up to date, or correct.

(4). weholi provides its services on the basis of state-of-the-art technology. During maintenance work, in order to safeguard the security and integrity of the portal as well as for reasons of capacity, short-term restrictions of the services may occur. In as far as such restrictions are foreseeable, and provided that this is appropriate, weholi shall inform the Members of such restrictions.

(5). Each Member can only have one membership. Membership is not transferable.

4. Membership term, termination

(1). The Member can choose a membership term of one or two years. Membership shall automatically be extended by consecutive one year terms, unless the Member gives notice of termination at least thirty (30) days in advance of the end of the term. Notice of termination may, inter alia, be given via the member account. Guest memberships can be terminated at any time.

(2). Refund Policy; Membership cancellations will be accepted within the first 14 days of membership purchase as long as no rentals or purchase transactions have taken place with that membership account within that period.

(3). weholi shall have the right to give ordinary notice of termination not less than thirty (30) days prior to the end of the membership term, in text form (e.g. by e-mail, letter). This shall not affect the right to block an account or to extraordinarily terminate the membership pursuant to clause 8 (2) hereof.

(4). Should weholi terminate a membership, the Member may not re-register, and may no longer use weholi's services.

(5). Prior to a Member’s using his or her allotment of transactions, the member may upgrade his or her membership to increase his or her allotment of transactions by payment of the then-current and applicable upgrade fee, which is the next level of membership. The remaining term of a Member’s lower-tiered membership will be credited against the upgrade fee.

5. Payment

(1). The membership fee is due for payment upon the conclusion of the membership offer, for the entire membership term. In the event of an automatic extension of membership, the corresponding membership fee shall be due for payment when the extension period commences.

(2). The Member may either pay via PayPal or credit card.

6. Members' duties

(1). The Member must submit full and correct member data (name, address, email address, invoice data etc.), and is obligated to immediately correct these data in the member account in the event of changes.

(2). The Member must keep the password secret, and must protect access to his/her weholi account. Should there be any indication that the account is misused by third parties, the Member shall promptly inform weholi thereof. The Member is liable for any usage and/or other activities carried out under his/her access data, in accordance with the statutory provisions.

(3). Members may only post Vacation Products on the portal for rent, or offer them for sale, if they are entitled to do so pursuant to the contractual terms applicable to the relevant Vacation Product. The Members hereby agree to comply with any obligations incumbent upon them under the contractual terms of the Vacation Products, and in particular confirm to have paid any applicable maintenance fees, dues and assessments. Furthermore, Members agree to comply with any applicable statutory, regulatory, land use and other legal provisions and restrictions, in particular tax provisions (including, for example, collection and payment of transient occupancy taxes, licensing and other requirements, rental restrictions and other compliance matters) and indemnify weholi for any liability in connection with noncompliance.

(4). The Member is responsible for his/her listings and for any content posted on weholi, as well as his/her use of the portal. He/she shall ensure that such content and use is lawful and does not violate third-party rights or laws.

(5). The Member shall be obligated to correctly and completely describe the main characteristics of the offered Vacation Products and to provide information on the payment terms. Furthermore, he/she shall be obligated to comply with all legal information requirements.

(6). The prices stated by the Member in his/her adverts must include any applicable taxes, as well as any other price components which are incurred mandatorily and the sum of which is already clear prior to the conclusion of the Contract.

(7). The Member grants weholi the non-exclusive, revocable right, free of charge, without restrictions as to territory and time, and including the right to grant sub-licenses, to use any copyrighted content incorporated by the Member into the listings or the portrait page, as well as any other content (e.g. photographs, texts, videos, etc.), in particular the right of reproduction, the right of distribution, the right to communication in public, the right of making available to the public and the right of adoptions.

(8). Members may not use the data of other Members which they receive in the course of using the portal (e.g. address data, e-mail addresses) for purposes other than the usage options offered on the portal, except with such Users' consent. It is in particular prohibited to sell such data to third parties or to send advertising material.

(9). Members are prohibited from using manual or automated software, devices, scripts, robots or similar processes and methods, and from using the portal in a form which goes beyond normal usage. This in particular includes framing of the portal or parts of the portal.

(10). The Member hereby indemnifies weholi from and against any and all claims asserted by other Members or Users, regulatory bodies or by other third parties on account of a violation of applicable law, an infringement of rights by listings posted by the Member or on account of the Member's use of the portal. The Member shall bear inter alia weholi's necessary legal costs (in particular court and lawyers' costs). In the event of claims being asserted by other Member or third parties, the Member shall be obligated to immediately and completely provide weholi with all information required in order to assess such claims and to adequately defend against them.

(11). Members must not encourage other Members to use the offers provided by a weholi competitor. It is also prohibited to use the content available on the portal in order to conclude contracts outside the portal, except if this is expressly permitted.

(12). Except if agreed otherwise, Members shall be obligated to leave the Vacation Products in the condition in which they found them upon their arrival. Members are obligated to immediately reimburse the relevant entitled person for any damage culpably caused by the Members or their co-travellers to the rented or exchanged Vacation Products.

(13). Members undertake to fully cooperate with weholi and the other Members in the event of complaints or claims raised by other Members, and in particular to promptly provide any required information.

7. weholi's rights

(1). weholi shall have the right to technically edit the listings as well as the Members' portrait pages so that these can also be displayed on mobile devices (e.g. smartphones, tablets, etc.) or software applications (e.g. apps for smartphones, tablets, PCs, TV etc.), by weholi or by third parties.

(2). weholi shall have the right to recommend and promote the Member's Vacation Product on its own portal and its own software applications as well as on third-party websites and platforms, in particular on social media platforms.

(3). In the event of a breach of these Terms and Conditions, or in the event of other unlawful or improper conduct, weholi shall have in particular the following sanction options:

- Issue of a written warning to the Member;
- Deletion of content, in particular listings;
- Temporary restriction of the scope of usage: The scope of usage of the membership is restricted. For instance, the Member can no longer publish new content, in particular listings.
- Permanent blocking and extraordinary termination: In the event of a permanent blocking, the Member's access rights are blocked and weholi gives extraordinary notice of termination of the Contract. The Member will be informed thereof at the Member’s Provided Address. A permanent blocking is only permitted in the event of serious breaches of the Terms and Conditions or of statutory provisions. This includes in particular the submission of incorrect account data, repeated breaches of these Terms and Conditions or of statutory provisions, in particular in spite of a warning, fraudulent conduct and significant damage to other Members. Usually, a permanent blocking is only possible after a warning has been issued to the Member.

When imposing the various sanctions, weholi shall adequately take into account the Members justified interests, in particular whether they were at fault.

8. Letting

(1). Depending on the scope of services of the relevant membership, the Member (in this section referred to as "the Landlord") may let his/her own Vacation Products or third-party Vacation Products.

(2). In order to be able to post Vacation Products, the Landlord must enter various data. This mandatorily includes a description, including information on the location, capacity, size and main characteristics, the offered booking period and the price including all price components. The Landlord may furthermore post photographs of his/her Vacation Product. The Landlord is solely responsible for the presentation of the Vacation Product and for compliance with applicable statutory (information) provisions. After another Member has submitted a binding offer or an inquiry, the Landlord must not request a price which is higher than the price shown in the listing.

(3). Before placing a listing, the Member must confirm that he/she has the right to let the Vacation Product. Before the Vacation Product is published on the portal, the Landlord is able to review all entries on an overview page. After that, the Vacation Product is placed on the platform. This does not constitute a legally binding offer.

(4). The Landlord is obligated to react to booking inquiries from other Members within 48 hours. Otherwise, the booking inquiry will be rejected automatically. In order to accept the binding booking offer submitted by another Member, the Landlord must click the "Accept" button in his/her inbox. Through this, a legally binding rental contract is concluded between the Landlord and the other Member.

(5). As soon as the rental contract has been concluded as to any singular Vacation Product, the Landlord shall be deemed to have engaged in a transaction, and the Landlord is routed to the "Completion Room". Depending on the Member's choice, the processing of the contract (change of contact data, submission of a reservation number etc.) can then be done individually or in a guided form. Multiple Vacation Products may not be combined in a single transaction and require separate transactions.

(6). As soon as the Landlord has received the Member's payment, he/she has to inform the resort etc. of the Member's data, verbally or in writing, and to inform the Member of the booking reservation number.

9. Renting

(1). If a Member wishes to book another Member's (the Landlord's) Vacation Product, he/she has to click on the "rent now" button in the advert. Through this, the Member submits a legally binding booking offer. By submitting this offer, the Member furthermore consents to the application of the standard terms and conditions lodged by the Landlord, if any. The Landlord may either accept or reject this offer. The Member will receive a corresponding notification in his/her inbox. If the Landlord accepts the Member's offer, a legally binding rental contract is concluded between the Member and the Landlord. Should the Member wish to not yet submit a legally binding offer for the conclusion of a rental contract, he/she may use the contact feature in the listing.

(2). After the conclusion of the contract as to any singular Vacation Product, the Landlord shall be deemed to have engaged in a transaction, the Member is routed to the "Completion Room" in order to process the rental contract (e.g. address data, number of persons, payment, etc.). There, he/she can select individual or guided processing.

(3). Professional Members can structure their listings so that Members are routed to the Professional Member's own website when clicking on the button "rent now", where the contract will then be concluded. Special regulations of the Professional Member may apply to the conclusion of such contracts. weholi does not assume any liability in this respect.

10. Offers for sale

(1). Depending on the scope of services of the relevant membership, the Member (in this section referred to as "the Seller") may offer his/her own Vacation Products or third-party Vacation Products for sale. Purchase agreements cannot be concluded via the portal; only adverts can be posted.

(2). In order to be able to offer Vacation Products for sale, the Seller must enter various data. This mandatorily includes a product description and a non-binding price. The Seller may furthermore post photographs of his/her Vacation Product. The Seller is solely responsible for the presentation of the Vacation Product and for compliance with applicable statutory (information) provisions.

(3). Before placing an advertisement, the Member must confirm that he/she has the right to sell the Vacation Product. Before the Vacation Product is published on the portal, the Seller is able to review all entries on an overview page. After that, the Vacation Product is placed on the portal. This does not constitute a legally binding sales offer.

(4). If another Member is interested in the Seller's Vacation Product and contacts the Seller, the Member and the Seller can negotiate the contract among themselves. The Seller is obligated to react to Member's inquiries within 48 hours. Otherwise, the inquiry will be rejected automatically. Upon the execution of a sale contract as to any singular Vacation Product, the Seller shall be deemed to have engaged in a transaction

11. Contacting the Seller

(1). Various Vacation Products are offered for sale on the portal by other Members (in this Section referred to as "Sellers"). However, legally binding purchase contracts cannot be concluded via the portal. The offered Vacation Products merely constitute non-binding adverts placed by the Sellers.

(2). If a Member is interested in a product offered for sale, he/she may contact the Seller, and the Member and the Seller can negotiate the contract among themselves.

12. Exchange deals

(1). Depending on the scope of services covered by their membership, Members may exchange their own or third-party Vacation Products among themselves. However, the Vacation Products are not finally transferred, but are merely let to the exchange partner for the specified period of time (rental exchange). Exchanging is only possible between two Members. This means that one Member rents the other Member's Vacation Product, and vice versa. Any payments or compensation of value differences between the Vacation Products will not take place on the portal.

(2). In order to be able to exchange a Vacation Product, the Member must first offer a Vacation Product for exchange. In order to be able to post Vacation Products, the Member must enter various data. This mandatorily includes a description, including information on the location, capacity, size and main characteristics as well as the offered exchange period. The Member may furthermore post photographs of his/her Vacation Product. The Member is solely responsible for the presentation of the Vacation Product and for compliance with applicable statutory (information) and other legal provisions.

(3). Before placing a listing, the Member must confirm that he/she has the right to exchange the Vacation Product. Before the Vacation Product is published on the portal, the Member is able to review all entries on an overview page. After that, the Vacation Product is placed on the portal. This does not constitute a legally binding offer.

(4). If a Member wishes to exchange his/her Vacation Product for the Vacation Product offered for exchange by another Member, this Member has to click on the button " exchange now" on the other Member's listing. Through this, the Member submits a legally binding exchange offer. By submitting this offer, the Member furthermore consents to the application of the terms and conditions lodged by the other Member, if any. Following this, the Member has to select which of his/her own listings he/she intends to offer to the other Member for exchange. Should the Member wish to not yet submit a legally binding exchange offer, he/she may use the contact feature in the listing.

(5). The other Member is obligated to react to exchange offers from other Members within 48 hours. Otherwise, the inquiry will be rejected automatically. In order to accept the binding exchange offer submitted by another Member, the Member has to click the "exchange now" button in his/her inbox. Through this, a legally binding (rental) exchange contract is concluded between the Member and the other Member, and each such Member shall be deemed to have engaged in a transaction.

(6). After the conclusion of the contract, both Members are routed to the "Completion Room" in order to process the exchange contract (e.g. address data, number of persons, etc.). There, they can select individual or guided processing.

13. Completion Room

Use of the Completion Room is voluntary and at the Users' own risk. It constitutes an offer to facilitate the processing of the contract. However, contracts are already concluded prior to this, based on the above provisions.

14. Prices, payments among members

(1). Members may state the desired price in the listings placed by them in one of the available currencies (hereinafter "Offer Currency"). Through a corresponding feature on the portal, other Members who are interested in the listings can display the price shown in the Offer Currency in one of the other available currencies (e.g. the other Member's home currency) (hereinafter: "Displayed Currency"). For this automatic currency conversion, weholi uses exchange rates which are recognized in the industry. The Members are aware of the fact that the price in the Displayed Currency merely constitutes non-binding information. The price to be bindingly paid is the price in the Offer Currency. Due to fluctuating exchange rates which neither weholi nor the Members can influence, this may have the consequence that the amount at the time of payment is higher or lower than the amount in the Displayed Currency at the time of the conclusion of the Contract.

(2). The Displayed Prices furthermore do not include exchange commission fees which may be charged additionally by the Members' banks, and which weholi cannot influence. Members may obtain information regarding such fees from their banks.

(3). Payments and payment terms relating to contracts between the Members must be regulated and carried out among themselves.

(4). weholi shall not accept any payments from Members on behalf of any other Members and is not otherwise involved in the payment transactions between the Members. weholi offers the Members the option of effecting payments through the technical incorporation of the PayPal payment service. Here, Members may have to accept the PayPal terms and conditions of use.

15. Liability

weholi shall only be liable for damage incurred if such damage is caused by a breach of an essential contractual obligation or by intentional or grossly negligent conduct on the part of weholi, its legal representatives or vicarious agents. If an essential contractual obligation has been breached in a slightly negligent manner, weholi's liability shall be limited to the foreseeable damage which typically occurs in this type of contract. Essential contractual obligations shall be obligations, the fulfillment of which is what allows the due processing of the Contract, or in compliance with which the Member trusted and was justified in trusting. Any liability for damages going beyond the above is excluded. Liability on account of culpable injury to life, body or health pursuant to the statutory provisions shall not be affected by the above.

16. Copyright Policy

weholi respects copyright law and expects its users to do the same. It is our policy to terminate memberships of those members who repeatedly infringe or are believed to be repeatedly infringing the rights of copyright holders. Please see our Copyright Policy at www.weholi.com/copyright-policy, for further information.

17. Data protection

(1). It is part of weholi's quality standards to responsibly deal with the Members' personal data. The weholi Privacy Policy can be accessed at www.weholi.com/policies and is incorporated herein by reference. The personal data resulting from the registration on the portal and from the use of the available services are therefore only collected, stored and processed by weholi to the extent to which this is required to perform the contractual services and/or permitted by law or required by the legislator. weholi shall treat personal data confidentially, in accordance with the provisions of applicable data protection legislation.

(2). Otherwise, weholi shall only use personal data in accordance with these terms and conditions and the terms in weholi’s privacy policy found on www.weholi.com/policies

18. Changes to these Terms and Conditions

weholi reserves the right to change these Terms and Conditions at any time, without stating reason for such changes, provided that this is not unreasonable for the Members. Changes may in particular become necessary due to technical developments or other reasons. weholi shall inform the Members of the intended changes prior to the changed Terms and Conditions coming into effect. The Members shall have the right to object to the application of the new Terms and Conditions within two weeks from the notification. If a Member does not exercise this right, the changed Terms and Conditions shall be deemed to have been accepted by such Member, provided that, and in as far as, weholi has informed the Member in the notification of the objection right and the significance of the objection period.


(19). Electronic Signature Consent

  • Consent. weholi requires that your membership registration be electronically processed and that, except as otherwise herein provided, all of our written communications to you be conducted by electronic means. By registering with weholi, each Member consents and agrees (initially and on an ongoing basis) that weholi may electronically provide such Member with all disclosures, agreements, contracts, rules and regulations, account statements, receipts, modifications, amendments and all other documents and communications relating to membership (collectively, “Electronic Records”), All Electronic Records may be delivered to a Member‘s Provided Address (as defined below) or weholi may post such Electronic Records on the weholi portal. Weholi reserves the right, however, to send any or all records to you in paper form to a Member‘s current postal mailing address in the Weholi files. Electronic notices shall have the same effect as if sent to Members in paper form.
  • Scope and Withdrawal of Consent. Each Member‘s consent to receive communications and do business electronically, and weholi‘s agreement to do so, applies to all Electronic Records. Member also understands and agrees to general use of electronic signatures in connection with weholi Membership, and by registering with weholi, each Member agrees to be bound whenever such Member (or any user of Member’s account) clicks on an “Agree”, “Accept” or similar button on the weholi portal, at which time a valid, binding and enforceable electronic contract will be formed. Weholi is an Internet-based program, therefore; the withdrawal of a Member’s consent to electronically do business with weholi will result in the termination of membership. Withdrawal may be performed by submitting a tangible, non-electronic request to weholi ag, Zentrum-Staldenbach 5, CH-8808 Pfäffikon, Attn: Electronic Records, and subsequently confirming such request via telephone to +41 55 415 80. Withdrawal will not affect the legal validity and enforceability of prior Electronic Records.
  • Paper Copy. Members have a right to receive a paper copy of all Electronic Records if applicable law specifically requires weholi to provide such documentation. To request a paper copy Members must submit a tangible, non-electronic request to weholi ag, Zentrum-Staldenbach 5, CH-8808 Pfäffikon, Attn: Electronic Records, with the details of the request. Paper copies will be provided at no charge within fourteen (14) days of receipt of the written request.
  • Equipment and Software Requirements. To receive Electronic Records and to access our weholi portal, Members need to have a computer with (i) access to the weholibsite, (ii) an active Provided Address account, (iii) Microsoft Internet Explorer 7.0 or higher or Google Chrome or Mozilla FireFox or Safari, and (iv) Adobe Acrobat Reader 3.0 or higher. By registering with weholi, each Member shall be deemed to represent that such Member has such equipment and software and is able to download, access, read, review, print and store the Electronic Records which weholi provides. Members will be notified of any material modifications to hardware or software requirements.
  • E-mail Communication. Members must maintain the Provided Address. If a Member fails to maintain a valid Provided Address, then any notice weholi sends to the Member‘s old email address shall be deemed sufficient notice. weholi have no liability to any Member for any loss, claim or damage arising or in any way related to weholi‘s response(s) to any e-mail or other electronic communication that weholi in good faith believes a Member to have submitted to us. Weholi has no duty to investigate the validity or to verify any e-mail or other electronic communication. Weholi may respond to an e-mail communication provided by a Member to either the address provided with the communication or the Provided Address. Any e-mail returned to weholi undelivered may be re-sent to the Member at any other e-mail address that weholi has in such Member’s file, unless previously informed that an e-mail address is no longer valid. Although weholi has no obligation to do so, weholi reserves the right to require authentication of e-mails or electronic communications. Weholi has no obligation, liability or responsibility to any Member or other person or company if weholi does not act upon or follow any instruction in the event that a communication cannot be authenticated to weholi‘s satisfaction.

(20). Miscellaneous

(1). The membership contract concluded with a Member is governed by Swiss law. Any disputes arising from these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts in Switzerland.

(2). These Terms and Conditions contain all contractual provisions. Verbal or written ancillary agreements do not exist.

(3). Modifications of, and amendments to, these Terms and Conditions must be set out in writing. This shall also apply to changes to this written form requirement clause.

(4). Should individual provisions contained in these Terms and Conditions be invalid or infeasible, or should they become invalid or infeasible after acceptance of these Terms and Conditions, the effectiveness of the remaining parts of these Terms and Conditions shall remain unaffected. The contracting parties undertake to replace the void or infeasible provision with an effective and feasible regulation, the effects of which come as close as possible to the commercial objective pursued by the contractual parties when agreeing on the ineffective or infeasible provision. The above provisions shall apply accordingly in the event that these Terms and Conditions is found to be incomplete.

(5). Members are not permitted to assign rights under these Terms and Conditions with weholi, neither entirely nor in part.

Indemnification

You agree to release, defend, indemnify, and hold weholi and its affiliates and subsidiaries, and their officers, directors, employees and agents, harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (a) your access to or use of the weholi portal and Application(s) or your violation of these Terms; (b) your listings and all legal compliance in connection therewith; (c) your (i) interaction with any Member, (ii) booking or purchase of a Vacation Product or (iii) creation of a Listing; (d) the use, condition or rental of Vacation Product by you and your family, friends, guests, licensees and invitees, including but not limited to any injuries, losses, or damages (compensatory, direct, incidental, consequential or otherwise) of any kind arising in connection with or as a result of a rental, booking or use of a Vacation Product.

Export Control and Restricted Countries

You may not use, export, re-export, import, or transfer the Application(s) except as authorized by United States law, the laws of the jurisdiction in which you obtained the Application(s), and any other applicable laws. In particular, but without limitation, the Application(s) may not be exported or re-exported: (a) into any United States embargoed countries; or (b) to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Department of Commerce's Denied Persons List or Entity List. By using the weholi portal and Application(s), you represent and warrant that (i) neither you nor your listed Vacation Product is located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties. You also will not use the weholi portal and Application(s), for any purpose prohibited by U.S. law, including the development, design, manufacture or production of missiles, or nuclear, chemical or biological weapons. weholi does not permit the listing of Vacation Products associated with certain countries due to U.S. embargo restrictions.

Terms and Conditions For weholi Memberships

1. Provider, description of offer, applicability of Terms and Conditions

  • (1) The weholi portal is operated by weholi ag, Zentrum-Staldenbach 5, CH-8808 Pfäffikon, Switzerland, telephone: +41 55 415 88 80, e-mail: legal@weholi.ch (hereinafter: "weholi").
  • (2) The portal is directed at consumers who are at least 18 years old and who can form legally binding contracts under the applicable law and to businesses (hereinafter: "Users"). Users who have entered into a membership agreement with weholi (hereinafter: "Members") may post listings on the portal for their timeshare rights, vacation ownerships, rights of use, use licences, certificates, destination points, fractional ownerships, Hapimag shares/points, serviced apartments, hotel apartments, hotel condominiums, holiday flats, holiday homes, cruise vouchers, holiday vouchers, long-term holiday products and part-time residential rights etc. (hereinafter: "Holiday Products") and offer these for rent or sale, depending on their specific membership. Furthermore, Members may rent Holiday Products from other Members and obtain information on sales offers. weholi acts as a venue which allows Members to undertake the above-mentioned activities provided they comply with these Terms and Conditions. weholi does not itself offer any Holiday Products nor is it involved in any rental or sale transactions between Members. The rent or sales agreements are concluded directly between the Members only. Consequently, weholi has no control over the quality, safety, morality or legality of any items listed, the truth or accuracy of the listings or the ability of Members to enter into the above-mentioned transactions. The Members themselves are responsible for their listings. weholi will not review the adverts with regard to their lawfulness, correctness and completeness, and is not responsible for these listings. In addition, weholi cannot ensure that a Member will actually complete any transaction. Each Member agrees that the weholi acts as a venue and as such is not responsible or liable for any content, including any data, text, information, usernames, graphics, images, photographs, profiles, audio, video, items and links posted by other Members, other Users, or outside parties on the portal Each Member accepts that he/she uses the service offered by weholi at his/her own risk.
  • (3) These legal terms and conditions, together with the Privacy Policy, (“Terms and Conditions”) shall apply to Contracts between weholi and Members from the United Kingdom, for all types of use of the portal (e.g. via the website, apps for mobile telephones, etc.).

2. Conclusion of the contract

  • (1) Contracts will be entered into in the English language.
  • (2) Users may register with a valid e-mail address or a third-party account (e.g. Facebook, Google+) for a free guest membership. For this purpose, the User must submit his/her first name and family name and choose a password. During registration, Users must declare their consent to the application of these Terms and Conditions. By clicking on the "Sign up" button or - if registration is done via a third-party account - on the button "Sign up with Facebook" or "Sign up with Google", the User submits a binding offer for the conclusion of a free contract with weholi. Before the User submits the offer, he/she has the opportunity of reviewing the entered data for errors, and, if necessary, of directly correcting the entries. Following this, the User receives an e-mail confirming registration. This constitutes the acceptance of the User's offer by weholi, and the Contract with weholi will then be concluded. The text of the Contract will not be stored by weholi, but will be sent to the User in the confirmation e-mail. This registration gives the User a guest membership.
  • (3) The User also has the option of buying a fee-based membership (Classic, Premium, Platinum). For this purpose, he/she must select the desired term of contract and enter the invoice address and the preferred payment method. Entry errors can be detected on the last page of the order and can be corrected by entering new data. By clicking on the button "order now", the User issues a binding offer for the conclusion of a contract with weholi. Following this, the User receives an e-mail confirming the order. This constitutes the acceptance of the User's offer by weholi, and the Contract with weholi will then be concluded. The text of the Contract will not be stored by weholi, but will be sent to the User in the confirmation e-mail.
  • (4) Users wishing to buy a Professional membership are asked to please directly contact weholi.

3. Right of withdrawal for consumers

    • (1) If Member is a consumer, he/she has a legal right to cancel a Contract for fee-based membership under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 during the period set out in paragraph 3(2) below. This means that during the relevant period if the Member changes his/her mind or decides for any other reason that he/she does not want to buy a fee-based membership, he/she can notify weholi of his/her decision to cancel the Contract and receive a refund of the fee that he/she has paid.
    • (2) To cancel a Contract, the Member must notify weholi that he/she has decided to cancel. This can be done by completing the cancellation form in section (5).
    • (3) The Member’s legal right to cancel a Contract starts from the date of weholi’s email confirming the request or order for fee-based membership (which is when the Contract between the Member and weholi is concluded) and ends 14 days after the date the Contract was concluded. To meet the cancellation deadline it is sufficient for the Member to send his/her communication concerning the exercise of his/her cancellation right before the cancellation period ends.
    • (4) If the Member cancels a Contract weholi will refund the Member the fee paid for the relevant membership. However, if the Member has during the cancellation period listed his/her Holiday Product on then portal, weholi is permitted by law to retain from the refundable fee an amount equivalent to a pro rata proportion of the fee based on the number of days which had elapsed before the cancellation notice was given. weholi will make the refund required under this paragraph 3(4) within 14 days after it receives the cancellation notice. weholi will make the refund using the same means of payment used by the Member to pay the fee.

4. Memberships and scope of services

  • (1) With a free registration, the User obtains a guest membership with weholi. The Member is able to rent the Holiday Products offered by other Members and to contact Members offering their Holiday Products for sale, without any restrictions.
  • (2) The User also has the option of entering into various fee-based contracts with varying scopes of services.
    - Classic: With a Classic membership, the Member is able to rent the Holiday Products offered by other Members and to contact Members offering their Holiday Products for sale, without any restrictions. Furthermore, the Member can offer various Holiday Products per year belonging to the Member or his/her family, for rent or sale, resulting in a maximum of one transaction during the term of membership. A voluntary verification of the offered Holiday Product is recommended.
    - Premium: With a Premium membership, the Member is able to rent the Holiday Products offered by other Members and to contact Members offering their Holiday Products for sale, without any restrictions. Furthermore, the Member can offer various Holiday Products per year belonging to the Member or his/her family, for rent or sale, resulting in a maximum of three transactions during the term of membership. A voluntary verification of the offered Holiday Product is recommended. Also, the Member may use the reporting tool.
    - Platinum: With a Platinum membership, the Member is able to rent the Holiday Products offered by other Members and to contact Members offering their Holiday Products for sale, without any restrictions. Furthermore, the Member can offer various Holiday Products per year belonging to the Member or his/her family, for rent or sale, resulting in a maximum of ten transactions during the term of membership. A voluntary verification of the offered Holiday Product is recommended. Also, the Member may use the reporting tool and top listings.
    - Professional: The Professional membership is directed at companies, developers, home resorts, management companies, administrative management companies, hotel groups and agencies. The Member is able to rent Holiday Products offered by other Members and to contact Members offering their Holiday Products for sale without any restrictions. Furthermore, the Member is able to offer 100 Holiday Products for rent or sale, and to incorporate its own logo into the listings. The Holiday Products do not have to be owned by the Member, but may also belong to third parties. A voluntary verification of the offered Holiday Product is recommended. Also, the Member may use the reporting tool and top listings, and set up its own agency portrait page.
  • (3) weholi offers a variety of functions for the verification of data entered by the Members. Nevertheless, and in spite of additional security measures, it cannot be ruled out that the data stored at weholi are no longer up to date, or are incorrect. Members can reduce the risk of abuse only by contacting Members who have verified large amounts of their data.
  • (4) weholi provides its services on the basis of state-of-the-art technology. In order to safeguard the security and integrity of the portal as well as for reasons of capacity and proper functioning, short-term restrictions or interruptions on the use of the services may occur. In as far as such restrictions are foreseeable, weholi shall inform the Members of such restrictions. However, weholi does not warrant that the use of the services will be uninterrupted or error-free.
  • (5) Each Member can only have one membership. Membership is not transferable.

5. Membership term, termination

  • (1) The Member can choose a membership term of one or two years. Membership shall automatically be extended by consecutive one year terms, except if the Member gives notice of termination not less than one month prior to the end of the term. Notice of termination can be given via the member account or via email. Guest memberships can be terminated at any time via the member account or via email.
  • (2) weholi shall have the right to give notice to terminate a Contract for any reason not less than one month prior to expiry of the Contract, in text form (e.g. by e-mail, letter). This shall not affect the right to block an account or to terminate the Contract pursuant to clause 8 (3).
  • (3) Should weholi have terminated a Contract, whether under this paragraph 5 or paragraph 8, the Member may not re-register, and may no longer use weholi's services.
  • (4) Prior to a Member’s using his or her allotment of transactions, the member may upgrade his or her membership to increase his or her allotment of transactions by payment of the then-current and applicable upgrade fee, which is the next level of membership. The remaining term of a Member’s lower-tiered membership will be credited against the upgrade fee.

6. Payment

  • (1) The Member can choose a membership term of one or two years. Membership shall automatically be extended by consecutive one year terms, except if the Member gives notice of termination not less than one month prior to the end of the term. Notice of termination can be given via the member account or via email. Guest memberships can be terminated at any time via the member account or via email.
  • (2) weholi shall have the right to give notice to terminate a Contract for any reason not less than one month prior to expiry of the Contract, in text form (e.g. by e-mail, letter). This shall not affect the right to block an account or to terminate the Contract pursuant to clause 8 (3).

7. Members' duties

  • (1) The Member must submit full and correct member data (name, address, invoice data etc.), and is obligated to immediately correct these data in the member account in the event of changes.
  • (2) The Member must keep the password secret, and must protect access to his/her weholi account. The Member shall promptly inform weholi thereof of any unauthorised use of the Member's password or any breach of security. The Member is fully liable for any activity, liability or damage resulting from his/her failure to maintain password confidentiality. The Member also agrees that weholi cannot and will not be liable for any loss or damage arising from the Member's failure to keep his/her password secure.
  • (3) Members may only post Holiday Products on the portal for rent or exchange, or offer them for sale, if they are legally entitled to do so. The Members hereby undertake to comply with any legal obligations incumbent upon them in relation to the Holiday Products, and in particular Members undertake to pay any applicable maintenance fees and taxes whenever they fall due.
  • (4) The Member is responsible for his/her listings and for any content posted on weholi, as well as his/her use of the portal. He/she shall ensure that such content and use of the portal is lawful and does not violate third-party rights (such as content which is obscene, indecent, pornographic, seditious, offensive, defamatory, threatening, liable to incite racial hatred, menacing, blasphemous or in breach of any third party intellectual property rights). Each Member accepts that weholi has no control over any Member-generated content on the weholi portal and does not purport to monitor such content. weholi reserves the right to remove any content from the portal where it reasonably suspects that the content does not comply with this paragraph 7(4).
  • (5) The Member shall be obligated to correctly and completely describe the main characteristics of the offered Holiday Products and to provide information on the payment and other offer terms. Furthermore, he/she shall be obligated to comply with all statutory information requirements and other legal requirements.
  • (6) The prices stated by the Member in his/her adverts must include VAT, if applicable, as well as any other price components which are incurred mandatorily, the aggregate sum of which must be made clear prior to the conclusion of the Contract.
  • (7) The Member grants weholi the non-exclusive, revocable right, free of charge, without restrictions as to territory and time, and including the right to grant sub-licences (through multiple tiers), to use in relation to weholi's services any content incorporated by the Member into the listings or the portrait page, as well as any other content (e.g. photographs, texts, videos, etc.), and to exercise any rights which the Member has in the content, including the right of reproduction, the right of distribution, the right to communication in public, the right of making available to the public and the right of adoptions. The Member hereby waives any moral right he/she may have in such content. weholi will only use personal information in accordance with weholi's Privacy Policy.
  • (8) Members may not use the data of other Members which they receive in the course of using the portal (e.g. address data, e-mail addresses) for purposes other than the usage options offered on the portal, except with such Members' consent. It is in particular prohibited to sell such data to third parties or to send advertising material. weholi does not take any responsibility for the quality, safety or legality of any content downloaded by Members from weholi's portal.
  • (9) Members are prohibited from using manual or automated software, devices, scripts, robots or similar processes and methods which interfere with the operation of the portal, and from using the portal in a way which goes beyond normal usage. This in particular includes framing or mirroring of the portal or parts of the portal.
  • (10) The Member shall be liable to weholi for any loss or damage arising from or in connection with any and all claims asserted by other Members or by other third parties on account of an infringement of their rights by listings posted by the Member or on account of the Member's use of the portal. The above shall not apply if the Member is not responsible for such infringements. The Member shall bear inter alia weholi's reasonable legal costs (in particular court and lawyers' costs). In the event of claims being asserted by other Member or third parties, the Member shall be obligated to immediately and completely provide weholi, at the Member's own expense, with all information required in order to assess such claims and to adequately defend against them.
  • (11) Members must not encourage other Members to use the offers provided by a weholi competitor. It is also prohibited to use the content available on the portal in order to conclude contracts outside the portal, except if this is expressly permitted.
  • (12) Except if agreed otherwise, Members shall be obligated to leave the Holiday Products in the condition (except for fair wear and tear) in which they found them upon their arrival. Members are obligated to immediately compensate the relevant entitled person for any damage culpably caused by the Members or their co-travellers to the rented or exchanged Holiday Products.
  • (13) Members undertake to fully cooperate with weholi and the other Members in the event of complaints or claims raised by other Members, and in particular to promptly provide any required information.

8. weholi's rights

  • (1) weholi shall have the right to technically edit the listings as well as the Members' portrait pages so that these can also be displayed on mobile devices (e.g. smartphones, tablets, etc.) or software applications (e.g. apps for smartphones, tablets, PCs, TV etc.), by weholi or by third parties.
  • (2) weholi shall have the right to recommend and promote the Member's Holiday Product on its own portal and its own software applications as well as on third-party websites and platforms, in particular on social media platforms.
  • (3) In the event of a breach of these Terms and Conditions, or in the event of other unlawful or improper conduct, weholi shall have in particular one or more of the following sanction options:
- Issuance of a warning to the Member;

- Deletion of the Member's content, in particular listings;

- Temporary restriction of the scope of usage: The scope of usage of the membership is restricted. For instance, the Member can no longer publish new content, in particular listings.

- Permanent restriction on the Member's use of the weholi portal and termination of the Contract: In the event of a permanent restriction on use, the Member's access rights are blocked and the Contract is terminated with immediate effect upon the giving by weholi of notice of termination of the Contract. The Member will be informed thereof by e-mail. A permanent restriction on use and termination of the Contract is only permitted in the event of a material breach of these Terms and Conditions. Examples of material breach include the submission of incorrect account data, repeated breaches of these Terms and Conditions, a violation of the applicable law and improper or fraudulent conduct which results in damage to other Members or the weholi portal. For the avoidance of doubt, weholi is not obliged to issue a warning to the Member in order to delete his/her content or restrict his/her use of the weholi portal.

9. Letting

  • (1) Depending on the scope of services of the relevant membership, the Member (in this section referred to as "the Landlord") may let his/her own Holiday Products or third-party Holiday Products.
  • (2) In order to be able to post Holiday Products, the Landlord must enter various data as prompted by the applicable online form. This mandatorily includes a description, including information on the location, capacity, size and main characteristics, the offered booking period and the price including all price components. The Landlord may furthermore post photographs of his/her Holiday Product. The Landlord is solely responsible for the presentation of the Holiday Product and for compliance with applicable statutory (information) provisions and other legal requirements. After another Member has submitted a binding offer or an inquiry, the Landlord must not request a price which is higher than the price shown in the listing.
  • (3) By placing a listing, the Landlord confirms that he/she has the legal right to let the Holiday Product. Before the Holiday Product is published on the portal, the Landlord is able to review all entries on an overview page. After that, the Holiday Product is placed on the platform. This does not constitute a legally binding offer.
  • (4) The Landlord is obligated to react to booking inquiries from other Members within 48 hours. Otherwise, the booking inquiry will be rejected automatically. In order to accept the binding booking offer submitted by another Member, the Landlord must click the "Accept" button in his/her inbox. Through this, a legally binding rental contract is concluded between the Landlord and the other Member.
  • (5) As soon as the rental contract has been concluded, the Landlord is routed to the "Completion Room". Depending on the Member's choice, the processing of the contract (change of contact data, submission of a reservation number etc.) can then be done individually or in a guided form.
  • (6) As soon as the Landlord has received the Member's payment, he/she has to inform the relevant resort etc. of the Member's data, verbally or in writing, and to inform the Member of the booking reservation number.

10. Renting

  • (1) If a Member wishes to book another Member's (the Landlord's) Holiday Product, he/she (to be referred to in this section as the "Tenant-to-be") has to click on the "rent now" button in the advert. Through this, the Tenant-to-be submits a legally binding booking offer. By submitting this offer, the Tenant-to-be furthermore consents to the application of the standard terms and conditions lodged by the Landlord, if any. The Landlord may either accept or reject this offer. The Tenant-to-be will receive a corresponding notification in his/her inbox. If the Landlord accepts the Tenant-to-be's offer, a legally binding rental contract is concluded between the Tenant-to-be and the Landlord. Should the Tenant-to-be wish to not yet submit a legally binding offer for the conclusion of a rental contract, he/she may use the contact feature in the listing.
  • (2) After the conclusion of the contract, the Tenant-to-be is routed to the "Completion Room" in order to process the rental contract (e.g. address data, number of persons, payment, etc.). There, he/she can select individual or guided processing.
  • (3) Professional Members can structure their listings so that Members are routed to the Professional Member's own website when clicking on the button "rent now", where the contract will then be concluded. Special regulations of the Professional Member may apply to the conclusion of such contracts. weholi is not responsible for the content of any linked site or any link contained in a linked site.

11. Offers for sale

  • (1) Depending on the scope of services of the relevant membership, the Member (in this section referred to as "the Seller") may offer his/her own Holiday Products or third-party Holiday Products for sale. Purchase agreements cannot be concluded via the portal; only adverts can be posted.
  • (2) In order to be able to offer Holiday Products for sale, the Seller must enter various data as prompted by the applicable online form. This mandatorily includes a product description and a non-binding price. The Seller may furthermore post photographs of his/her Holiday Product. The Seller is solely responsible for the presentation of the Holiday Product and for compliance with applicable statutory (information) provisions and other legal requirements.
  • (3) Before placing an advert, the Member must confirm that he/she has the right to sell the Holiday Product. Before the Holiday Product is published on the portal, the Seller is able to review all entries on an overview page. After that, the Holiday Product is placed on the portal. This does not constitute a legally binding sales offer.
  • (4) If another Member is interested in the Seller's Holiday Product and contacts the Seller, the Member and the Seller can negotiate the contract among themselves. The Seller is obligated to react to Member's inquiries within 48 hours. Otherwise, the inquiry will be rejected automatically. The Member's expression of interest shall not be legally binding on the Member.

12. Contacting the Seller

  • (1) Various Holiday Products are offered for sale on the portal by other Members (in this Section referred to as "Sellers"). However, legally binding purchase contracts cannot be concluded via the portal. The offered Holiday Products merely constitute non-binding adverts placed by the Sellers.
  • (2) If a Member is interested in a product offered for sale, he/she may contact the Seller, and the Member and the Seller can negotiate the contract among themselves.

13. Exchange deals

  • (2) Depending on the scope of services covered by their membership, Members may exchange their own or third-party Holiday Products among themselves. However, the Holiday Products are not finally transferred, but are merely let to the exchange partner for the specified period of time (rental exchange). Exchanging is only possible between two Members. This means that one Member rents the other Member's Holiday Product, and vice versa. Any payments or compensation of value differences between the Holiday Products will not take place on the portal.
  • (2) In order to be able to exchange a Holiday Product, the Member must first offer a Holiday Product for exchange. In order to be able to post Holiday Products, the Member must enter various data as prompted by the applicable online form. This mandatorily includes a description, including information on the location, capacity, size and main characteristics as well as the offered exchange period. The Member may furthermore post photographs of his/her Holiday Product. The Member is solely responsible for the presentation of the Holiday Product and for compliance with applicable statutory (information) provision and other legal requirements.
  • (3) By placing a listing, the Member confirms that he/she has the right to exchange the Holiday Product. Before the Holiday Product is published on the portal, the Member is able to review all entries on an overview page. After that, the Holiday Product is placed on the portal. This does not constitute a legally binding offer.
  • (4) If a Member wishes to exchange his/her Holiday Product for the Holiday Product offered for exchange by another Member, this Member has to click on the button "exchange now" on the other Member's listing. Through this, the Member submits a legally binding exchange offer. By submitting this offer, the Member furthermore consents to the application of the terms and conditions lodged by the other Member, if any. Following this, the Member has to select which of his/her own listings he/she intends to offer to the other Member for exchange. Should the Member wish to not yet submit a legally binding exchange offer, he/she may use the contact feature in the listing.
  • (5) The other Member is obligated to react to exchange offers from other Members within 48 hours. Otherwise, the inquiry will be rejected automatically. In order to accept the binding exchange offer submitted by another Member, the Member has to click the "exchange now" button in his/her inbox. Through this, a legally binding (rental) exchange contract is concluded between the Member and the other Member.
  • (6) After the conclusion of the contract, both Members are routed to the "Completion Room" in order to process the exchange contract (e.g. address data, number of persons, etc.). There, they can select individual or guided processing.

14. Completion Room

  • (1) Use of the Completion Room is voluntary and at the Members own risk. It constitutes an offer to facilitate the processing of the contract in guided steps. However, contracts are already concluded prior to this, based on the above provisions. In the Completion Room the Members are able to inform each about details like address data, change of contact data, number of persons, payment, submission of a reservation number etc.
  • (2) Members may only accept offers that are lawful and in compliance with these Terms and Conditions. Members are put on notice of the fact that both the supply of, and payment for, Holiday Products in certain areas (for example, in relation to tax and certain repair and maintenance services) are regulated by laws and regulations. Members are therefore responsible for checking if such laws and regulations apply to them, and, if they do, Members must comply with them.

15. Prices, payments among members

  • (1) Members may state the desired price in the listings placed by them in one of the available currencies (hereinafter "Offer Currency"). Through a corresponding feature on the portal, other Members who are interested in the listings can display the price shown in the Offer Currency in one of the other available currencies (e.g. the other Member's home currency) (hereinafter: "Displayed Currency"). For this automatic currency conversion, weholi uses exchange rates which are recognised in the industry. The Members are aware of the fact that the price in the Displayed Currency merely constitutes non-binding information. The price to be bindingly paid is the price in the Offer Currency. Due to fluctuating exchange rates which neither weholi nor the Members can influence, this may have the consequence that the amount at the time of payment is higher or lower than the amount in the Displayed Currency at the time of the conclusion of the Contract.
  • (2) The Displayed Prices furthermore do not include exchange commission fees which may be charged additionally by the Members' banks, and which weholi cannot influence. Members may obtain information regarding such fees from their banks.
  • (3) Payments and payment terms relating to contracts must be agreed between and implemented by the Members themselves.
  • (4) weholi shall not accept any payments from Members for other Members, and is not otherwise involved in the payment transactions between the Members. weholi offers the Members the option of effecting payments through the technical incorporation of the PayPal payment service. Here, Members may have to accept the PayPal terms and conditions of use.

16. Liability

  • (1) The relationships between Members do not create any legal rights or obligations for weholi. In particular, weholi accepts no liability for the content or quality of Members' contributions to or use of the portal or for any loss or damage resulting therefrom. This excludes instances where weholi is responsible for such loss or damage.
  • (2) The Member releases weholi from any and all liabilities to it in relation to claims connected with the operation and use of the portal which are made against weholi by other Members or third parties. In doing so, the Member accepts responsibility for the costs of any necessary legal defense incurred by weholi (and, in particular, all reasonable legal fees), as well as the costs of any award or settlement made against weholi, except in cases where the claim had not been caused by the Member's acts or omissions.
  • (3) weholi shall only be liable for damage incurred if such damage is caused by a material breach of a material contractual obligation on the part of weholi, its legal representatives or agents. weholi's liability shall in any event be limited to the foreseeable damage which typically occurs in this type of contract. Examples of material obligations include obligations the fulfilment of which is allows the due processing of the Contract, or in compliance with which the Member trusted and was justified in trusting. Any liability for damages going beyond the above is excluded. Liability for death or personal injury caused by weholi's negligence shall not be limited in any way.

17. weholi Intellectual Property

  • (1) weholi and other weholi graphics, logos, designs, page headers, button icons, scripts and service names are the trade marks or trade dress of weholi AG and its subsidiaries. weholi's copyright, trade marks, service marks, logos, business name, domain name, rights in get up and trade dress and all other weholi intellectual property rights may not be used, including, without limitation, as part of trade marks and/or as part of domain names or email addresses, in connection with any Holiday Product or other product or service in any manner that is likely to cause confusion.

18. Data protection

  • (1) It is part of weholi's quality standards to responsibly deal with the Members' personal data. The weholi Privacy Policy can be accessed at www.weholi.com/policy. The personal data resulting from the registration on the portal and from the use of the available services are therefore only collected, stored and processed by weholi to the extent to which this is required to perform the contractual services and/or permitted by law or required by the legislator. weholi shall treat personal data confidentially, in accordance with the provisions of applicable data protection legislation.
  • (2) Otherwise, weholi shall only use personal data in as far as the Member has given his/her expressed consent to such use. A declaration of consent which has been granted may be withdrawn at any time.

19. Codes of conduct

weholi is committed to complying with the following codes of conduct, which can be accessed via the specified internet addresses:

- American Resort Development Association (ARDA), www.arda.org,
- TATOC, www.tatoc.co.uk,

- Vacation Ownership Association of Southern Africa (VOASA), www.voasa.co.za.

20. Continuous Payment Authority Information

  • (1) The Member agrees to pay any membership fee to weholi by using his/her credit card or PayPal account. By providing weholi with his/her credit card or PayPal details, the Member agrees that weholi may deduct the fee from the card's associated credit or PayPal account from time to time, as agreed.
  • (2) weholi will write to the Member at least [30] days in advance to inform the Member that payment will be taken.
  • (3) The Member is entitled to cancel the continuous payment authority at any time. The Member may cancel by notifying weholi in writing, by email or by telephone that the Member no longer consents to the continuous payment authority. weholi will aim to respond to the Member's cancellation request within [7] days of receipt. weholi will not charge the Member a fee for cancelling the continuous payment authority.
  • (4) Upon receipt of notice of cancellation of the continuous payment authority by the Member, weholi will no longer be entitled to take payment from the Member's account.
  • (5) The Member may also cancel the continuous payment authority by notifying his/her credit provider or PayPal of his/her wish to cancel. From the date upon which the Member notifies his/her credit provider or PayPal, weholi will no longer be entitled to take payment from his/her account.
  • (6) Please note that cancellation of the continuous payment authority does not relieve the Member of his/her contractual liabilities under the Contract. In the event that the Member cancels the continuous payment authority, but the Member owes sums to weholi under these Terms and Conditions, weholi shall be entitled to payment from the Member by other means.

21. Changes to these Terms and Conditions

weholi reserves the right to change these Terms and Conditions at any time, without stating reason for such changes, provided that this is not unreasonable for the Members. Changes may in particular become necessary due to technical developments or other reasons. weholi shall inform the Members of the intended changes prior to the changed Terms and Conditions coming into effect. The Members shall have the right to object to the application of the new Terms and Conditions within two weeks from the notification. In this case Members have the right to terminate their membership. If a Member does not exercise this right, the changed Terms and Conditions shall be deemed to have been accepted by such Member, provided that, and in as far as, weholi has informed the Member in the notification of the objection right and the significance of the objection period.

22. Miscellaneous

  • (1) The Contract concluded with the Member is governed by Swiss law. Any disputes arising from this Contract shall be subject to the exclusive jurisdiction of the courts in Switzerland.
  • (2) These Terms and Conditions contain all contractual provisions. Verbal or written ancillary agreements do not exist.
  • (3) Modifications of, and amendments to, this Contract must be set out in writing. This shall also apply to changes to this written form requirement clause.
  • (4) Should individual provisions contained in this Contract be unlawful or unenforceable, or should they become unlawful or unenforceable after the conclusion of the Contract, the effectiveness of the remaining parts of the Contract shall remain unaffected. The contracting parties undertake to replace the unlawful or unenforceable provision with an effective and lawful substitute, the effects of which come as close as possible to the commercial objective pursued by the contractual parties when agreeing on the unlawful or unenforceable provision. The above provisions shall apply accordingly in the event that the Contract is found to be incomplete.
  • (5) Members are not permitted to assign rights under this Contract with weholi, neither entirely nor in part.

Allgemeine Geschäftsbedingungen (AGB) für Mitgliedschaften bei weholi

1. Anbieter, Angebotsbeschreibung, Geltungsbereich der AGB
  • (1) Das Portal weholi wird betrieben von der weholi ag, Zentrum-Staldenbach 5, CH-8808 Pfäffikon, Schweiz, Telefon: +41 55 415 88 80, E-Mail: contact@weholi.com (im Folgenden "weholi").
  • (2) Das Portal richtet sich an volljährige und unbeschränkt geschäftsfähige Verbraucher und Unternehmer i.S.d. §§ 13, 14 BGB (im Folgenden "Nutzer"). Nutzer, die einen Mitgliedschaftsvertrag mit weholi geschlossen haben (im Folgenden "Mitglieder"), können abhängig von der konkreten Mitgliedschaft für ihre Timeshare, Vaction Ownership, Nutzungsrechte, Nutzungslizenzen, Zertifikate, Destination Points, Fractional Ownership, Hapimag Shares/Points, Serviced Apartment, Hotel Apartment, Hotel Condominium, Ferienwohnung, Ferienhaus, Cruise Vouchers, Holiday Vouchers, langfristige Urlaubsprodukte und Teilzeit-Wohnrechte etc. (im Folgenden "Urlaubsprodukte") ein Inserat auf dem Portal einstellen und diese zur Miete, zum Tausch oder zum Verkauf anbieten. Zudem können Mitglieder Urlaubsprodukte anderer Mitglieder mieten oder gegen eigene Urlausprodukte eintauschen und sich über Verkaufsangebote informieren. weholi bietet selbst keine Urlaubsprodukte an, sondern stellt ausschließlich ein technisches Portal für Angebote Dritter zur Verfügung. Der jeweilige Miet-, Tausch- oder Kaufvertrag wird ausschließlich zwischen den Mitgliedern geschlossen. Die Mitglieder sind für ihre Inserate selbst verantwortlich. weholi prüft die Inserate nicht auf ihre Rechtmäßigkeit, Richtigkeit und Vollständigkeit und ist für diese nicht verantwortlich.
  • (3) Diese AGB gelten für Verträge von weholi mit Mitgliedern aus Deutschland für sämtliche Nutzungen des Portals (z.B. über die Webseite, Apps für Mobiltelefone etc.).

2. Vertragsschluss
  • (1) Der Vertragsschluss erfolgt in deutscher Sprache.
  • (2) Der Nutzer kann sich mit einer gültigen E-Mail-Adresse und/oder einem Drittkonto (z.B. Facebook, Google+) für eine kostenlose Gast-Mitgliedschaft registrieren. Dazu muss er seinen Vor- und Nachnamen angeben sowie ein Passwort auswählen. Im Rahmen der Registrierung muss er sich mit der Geltung dieser AGB einverstanden erklären. Durch einen Klick auf die Schaltfläche "Registrieren" bzw. – bei Registrierung mit einem Drittkonto – auf die Schaltflächen "Registrieren mit Facebook" bzw. "Registrieren mit Google+" gibt der Nutzer ein verbindliches Angebot auf Abschluss eines kostenlosen Vertrages mit weholi ab. Bevor der Nutzer das Angebot abgibt, kann er die von ihm eingegebenen Daten auf Eingabefehler überprüfen und ggf. unmittelbar die Eingaben korrigieren. Der Nutzer erhält daraufhin eine E-Mail, in der ihm die Registrierung bestätigt wird. Hiermit nimmt weholi das Angebot des Nutzers an und der Vertrag mit weholi wird geschlossen. Der Vertragstext wird von weholi nicht gespeichert, jedoch dem Nutzer in der Bestätigungs-E-Mail übersendet. Durch diese Registrierung erhält der Nutzer eine Gast-Mitgliedschaft.
  • (3) Der Nutzer kann auch eine kostenpflichtige Mitgliedschaft (Classic, Premium, Platinum) abschließen. Dazu muss er die gewünschte Vertragslaufzeit auswählen und die Rechnungsadresse sowie die gewünschte Zahlungsmethode angeben. Eingabefehler können auf der letzten Bestellseite erkannt und durch Eingabe anderer Daten geändert werden. Durch einen Klick auf die Schaltfläche "zahlungspflichtig bestellen" gibt der Nutzer ein verbindliches Angebot auf Abschluss eines Vertrages mit weholi ab. Der Nutzer erhält daraufhin eine E-Mail, in der ihm die Bestellung bestätigt wird. Hiermit nimmt weholi das Angebot des Nutzers an und der Vertrag mit weholi wird geschlossen. Der Vertragstext wird von weholi nicht gespeichert, jedoch dem Nutzer in der Bestätigungs-E-Mail übersendet.
  • (4) Wenn der Nutzer eine Professional-Mitgliedschaft abschließen möchte, kann er sich direkt an weholi wenden.

3. Widerrufsrecht für Verbraucher i.S.d. § 13 BGB

Sie haben das Recht, binnen vierzehn Tagen ohne Angabe von Gründen diesen Vertrag zu widerrufen.
Die Widerrufsfrist beträgt vierzehn Tage ab dem Tag des Vertragsschlusses.
Um Ihr Widerrufsrecht auszuüben, müssen Sie uns (weholi ag, Zentrum-Staldenbach 5, CH-8808 Pfäffikon, Schweiz, Telefon: +41 55 415 88 80, E-Mail: contact@weholi.com) mittels einer eindeutigen Erklärung (z. B. ein mit der Post versandter Brief, Telefax oder E-Mail) über Ihren Entschluss, diesen Vertrag zu widerrufen, informieren. Sie können dafür das beigefügte Muster-Widerrufsformolar verwenden, das jedoch nicht vorgeschrieben ist.
Zur Wahrung der Widerrufsfrist reicht es aus, dass Sie die Mitteilung über die Ausübung des Widerrufsrechts vor Ablauf der Widerrufsfrist absenden.

Folgen des Widerrufs
Wenn Sie diesen Vertrag widerrufen, haben wir Ihnen alle Zahlungen, die wir von Ihnen erhalten haben, einschließlich der Lieferkosten (mit Ausnahme der zusätzlichen Kosten, die sich daraus ergeben, dass Sie eine andere Art der Lieferung als die von uns angebotene, günstigste Standardlieferung gewählt haben), unverzüglich und spätestens binnen vierzehn Tagen ab dem Tag zurückzuzahlen, an dem die Mitteilung über Ihren Widerruf dieses Vertrags bei uns eingegangen ist. Für diese Rückzahlung verwenden wir dasselbe Zahlungsmittel, das Sie bei der ursprünglichen Transaktion eingesetzt haben, es sei denn, mit Ihnen wurde ausdrücklich etwas anderes vereinbart; in keinem Fall werden Ihnen wegen dieser Rückzahlung Entgelte berechnet.
Haben Sie verlangt, dass die Dienstleistungen während der Widerrufsfrist beginnen soll, so haben Sie uns einen angemessenen Betrag zu zahlen, der dem Anteil der bis zu dem Zeitpunkt, zu dem Sie uns von der Ausübung des Widerrufsrechts hinsichtlich dieses Vertrags unterrichten, bereits erbrachten Dienstleistungen im Vergleich zum Gesamtumfang der im Vertrag vorgesehenen Dienstleistungen entspricht.

4. Mitgliedschaften und Leistungsumfang
  • (1) Mit der kostenlosen Registrierung bei weholi erhält der Nutzer eine Gast-Mitgliedschaft. Das Mitglied kann unbegrenzt Urlaubsprodukte anderer Mitglieder mieten und mit Mitgliedern, die ihre Urlaubsprodukte zum Verkauf anbieten, in Kontakt treten.
  • (2) Der Nutzer kann auch verschiedene kostenpflichtige Verträge mit unterschiedlichem Leistungsumfang schließen.
    - Classic: Bei der Classic-Mitgliedschaft kann das Mitglied unbegrenzt Urlaubsprodukte anderer Mitglieder mieten und mit Mitgliedern, die ihre Urlaubsprodukte zum Verkauf anbieten, in Kontakt treten. Zudem kann es pro Jahr mehrere Urlaubsprodukte, die ihm oder seiner Familie gehören, zur Miete, zum Tausch oder zum Verkauf anbieten und eine Transaktion abschließen. Eine freiwillige Verifizierung des angebotenen Urlaubsprodukts ist möglich.
    - Premium: Bei der Premium-Mitgliedschaft kann das Mitglied unbegrenzt Urlaubsprodukte anderer Mitglieder mieten und mit Mitgliedern, die ihre Urlaubsprodukte zum Verkauf anbieten, in Kontakt treten. Zudem kann es pro Jahr mehrere Urlaubsprodukte, die ihm oder seiner Familie gehören, zur Miete, zum Tausch oder zum Verkauf anbieten und drei Transaktionen abschließen. Eine freiwillige Verifizierung der angebotenen Urlaubsprodukte ist möglich. Ferner kann das Mitglied das Reporting-Tool nutzen.
    - Platinum: Bei der Platinum-Mitgliedschaft kann das Mitglied unbegrenzt Urlaubsprodukte anderer Mitglieder mieten und mit Mitgliedern, die ihre Urlaubsprodukte, zum Verkauf anbieten, in Kontakt treten. Zudem kann das Mitglied mehrere Urlaubsprodukte, die ihm oder seiner Familie gehören, zur Miete, zum Tausch oder zum Verkauf anbieten und zehn Transaktionen abschließen. Eine freiwillige Verifizierung der angebotenen Urlaubsprodukte ist möglich. Ferner kann das Mitglied das Reporting-Tool und Top-Listings nutzen.
    - Professional: Die Professional-Mitgliedschaft richtet sich an Unternehmen, Developer, Home Resorts, Management Gesellschaften, Verwaltungen, Hotel Konzerne und Agenturen. Das Mitglied kann unbegrenzt Urlaubsprodukte anderer Mitglieder mieten und mit Mitgliedern, die ihre Urlaubsprodukte zum Verkauf anbieten, in Kontakt treten. Zudem kann das Mitglied unbeschränkt Urlaubsprodukte zur Miete, zum Tausch oder zum Verkauf anbieten und dabei sein eigenes Logo in die Angebote einbinden und maximal 100 Transaktionen abschließen. Die Urlaubsprodukte müssen nicht dem Mitglied gehören, sondern können auch Dritten zustehen. Eine freiwillige Verifizierung der angebotenen Urlaubsprodukte ist möglich. Ferner kann das Mitglied das Reporting-Tool und Top-Listings nutzen und eine eigene Agentur-Portraitseite einrichten.
  • (3) weholi bietet verschiedene Funktionen zur Verifizierung der von den Mitgliedern angegebenen Daten an. Dennoch und trotz weiterer Sicherheitsmaßnahmen kann nicht ausgeschlossen werden, dass die bei weholi hinterlegten Daten nicht mehr aktuell oder falsch sind. Mitglieder können ein Missbrauchsrisiko dadurch reduzieren, dass sie nur mit Mitgliedern in Kontakt treten, die zahlreiche ihrer Daten verifiziert haben.
  • (4) weholi erbringt seine Leistungen im Rahmen des Standes der Technik. Bei Wartungsarbeiten oder aus Gründen der Sicherheit und Integrität des Portals sowie aus Kapazitätsgründen kann es zu kurzfristigen Einschränkungen der Leistungen kommen. Soweit diese vorhersehbar sind und dies angemessen ist, wird weholi die Mitglieder darauf hinweisen.
  • (5) Jedes Mitglied darf nur eine Mitgliedschaft haben. Die Mitgliedschaft ist nicht übertragbar.

5. Dauer der Mitgliedschaft, Kündigung
  • (1) Die Dauer der Mitgliedschaft beträgt je nach Wahl des Mitglieds ein oder zwei Jahre. Die Mitgliedschaft verlängert sich automatisch um ein weiteres Jahr, wenn das Mitglied nicht einen Monat vor Ablauf kündigt. Eine Kündigung ist u.a. über das Mitgliedskonto möglich. Eine Gast-Mitgliedschaft kann jederzeit gekündigt werden.
  • (2) weholi kann die Mitgliedschaft mit einer Frist von einem Monat zum Vertragsende in Textform (z.B. per E-Mail, Brief) ordentlich kündigen. Das Recht zur Sperrung und außerordentlichen Kündigung nach § 8 Abs. 2 bleibt davon unberührt.
  • (3) Wenn eine Mitgliedschaft von weholi ordentlich oder außerordentlich gekündigt wurde, darf sich das Mitglied nicht erneut anmelden und auch die Dienste von weholi nicht mehr nutzen.
  • (4) Das Mitglied kann jederzeit eine höherwertige Mitgliedschaft abschließen. Die Zahlung errechnet sich aus der Differenz zwischen dem Preis der höherwertigen Jahres- oder Zweijahresmitgliedschaft und dem Restguthaben der bisherigen Mitgliedschaft.

6. Bezahlung
  • (1) Die Mitgliedsgebühr ist mit Vertragsschluss für die gesamte Dauer der Mitgliedschaft fällig. Bei einer automatischen Verlängerung der Mitgliedschaft ist die entsprechende Mitgliedsgebühr zu Beginn des Verlängerungszeitraums fällig.
  • (2) Das Mitglied kann mit PayPal oder Kreditkarten bezahlen.

7. Pflichten der Mitglieder
  • (1) Das Mitglied muss seine Mitgliedsdaten (Name, Anschrift, Rechnungsdaten etc.) vollständig und korrekt angeben und ist verpflichtet, diese bei Änderungen in seinem Mitgliedskonto unverzüglich zu korrigieren.
  • (2) Das Mitglied ist verpflichtet, sein Passwort geheim zu halten und den Zugang zu seinem weholi-Konto zu sichern. Falls es Anhaltspunkte davon hat, dass sein Konto von Dritten missbraucht wird, muss es weholi unverzüglich informieren. Das Mitglied haftet für jedwede Nutzung und/oder sonstige Aktivitäten, die unter seinen Zugangsdaten ausgeführt werden, nach den gesetzlichen Bestimmungen.
  • (3) Die Mitglieder dürfen Urlaubsprodukte nur dann auf das Portal zur Miete oder zum Tausch einstellen oder zum Verkauf anbieten, wenn sie nach den ggf. bestehenden Vertragsbestimmungen ihres Urlaubsprodukts dazu berechtigt sind. Die Mitglieder verpflichten sich, allen ihren ggf. bestehenden Verpflichtungen aus den Vertragsbestimmungen des Urlaubsproduktes nachzukommen und insbesondere ein Maintenance Gebühr bezahlt zu haben. Zudem verpflichten sie sich zur Einhaltung eventuell anwendbarer gesetzlicher Vorschriften, insbesondere Steuervorschriften.
  • (4) Das Mitglied ist für seine Inserate und weitere von ihm bei weholi eingestellten Inhalte sowie seine Nutzungen verantwortlich. Es hat sicherzustellen, dass diese Inhalte und seine Nutzungen rechtmäßig sind und keine Rechte Dritter verletzen.
  • (5) Das Mitglied ist verpflichtet, die wesentlichen Merkmale seiner von ihm angebotenen Urlaubsprodukte richtig und vollständig zu beschreiben und über seine Zahlungsbedingungen zu informieren. Zudem ist es verpflichtet, etwaigen gesetzlichen Informationspflichten nachzukommen.
  • (6) Die vom Mitglied in seinen Inseraten enthaltenen Preise müssen eine ggf. anfallende Mehrwertsteuer und sonstige Preisbestandteile enthalten, die zwingend anfallen und bereits vor Vertragsschluss der Höhe nach feststehen.
  • (7) Das Mitglied räumt weholi das kostenlose, einfache, widerrufliche und räumlich und zeitlich unbegrenzte, übertragbare und unterlizenzierbare Recht ein, vom Mitglied in die Inserate oder die Portrait-Seite eingebundenen urheberrechtlich geschützten Inhalte und sonstige Inhalte (z.B. Fotos, Texte, Videos etc.) zu nutzen, insbesondere zu vervielfältigen, zu verbreiten, öffentlich wiederzugeben, öffentlich zugänglich zu machen und zu bearbeiten.
  • (8) Mitglieder dürfen die Daten anderer Mitglieder, die sie im Rahmen der Nutzung des Portals erhalten haben (z.B. Adressdaten, E-Mail-Adressen), ohne deren Erlaubnis nicht für andere Zwecke als zu den auf dem Portal angeboten Nutzungsmöglichkeiten verwenden. Insbesondere ist der Verkauf an Dritte oder die Zusendung von Werbung verboten.
  • (9) Mitgliedern ist der Einsatz manueller oder automatisierter Software, Geräte, Skripte, Robots oder ähnlicher Verfahren und Mittel sowie eine Nutzung des Portals untersagt, die über eine übliche Nutzung hinausgeht. Hierzu gehört insbesondere das Framing des Portals oder Teilen des Portals.
  • (10) Das Mitglied stellt weholi von sämtlichen Ansprüchen anderer Mitglieder oder sonstiger Dritter wegen Verletzung ihrer Rechte durch vom Mitglied eingestellte Inserate oder wegen dessen Nutzung des Portals frei. Dies gilt nicht, wenn das Mitglied die Rechtsverletzung nicht zu vertreten hat. Das Mitglied übernimmt u.a. die Kosten der notwendigen Rechtsverteidigung von weholi (insbesondere Gerichts- und Anwaltskosten). Das Mitglied ist verpflichtet, weholi für den Fall einer Inanspruchnahme durch andere Mitglieder oder durch Dritte unverzüglich und vollständig alle Informationen zur Verfügung zu stellen, die für die Prüfung der Ansprüche und eine entsprechende Verteidigung erforderlich sind.
  • (11) Mitglieder dürfen andere Mitglieder nicht dazu bewegen, das Angebot eines Wettbewerbers von weholi zu nutzen. Ebenfalls ist es verboten, die auf dem Portal verfügbaren Inhalte dazu zu nutzen, Verträge außerhalb des Portals abzuschließen, es sei denn, dies ist ausdrücklich erlaubt.
  • (12) Mitglieder sind, soweit nicht etwas anderes vereinbart wurde, verpflichtet, die Urlaubsprodukte in dem Zustand zu hinterlassen, den sie bei der Ankunft vorgefunden haben. Die Mitglieder sind verpflichtet, Schäden, die sie oder ihre Mitreisenden scholdhaft in den gemieteten oder eingetauschten Urlaubsprodukten verursacht haben, dem jeweiligen Berechtigten unverzüglich zu ersetzen.
  • (13) Die Mitglieder verpflichten sich, bei Beschwerden oder von anderen Mitgliedern behaupteten Ansprüchen mit weholi und den anderen Mitgliedern vollumfänglich zusammenzuarbeiten, insbesondere erforderliche Informationen unverzüglich mitzuteilen.

8. Rechte von weholi
  • (1) weholi hat das Recht, Inserate sowie die Portrait-Seiten der Mitglieder technisch so zu bearbeiten, dass diese auch auf mobilen Endgeräten (z.B. Smartphones, Tablets etc.) oder Softwareapplikationen (z.B. Apps für Smartphones, Tablets, PCs, Fernseher etc.) von weholi oder Dritten dargestellt werden können.
  • (2) weholi hat das Recht, das Urlaubsprodukt des Mitglieds auf dem eigenen Portal und eigenen Softwareapplikationen sowie auf Webseiten und Plattformen Dritter, insbesondere Social Media-Plattformen zu empfehlen und zu bewerben.
  • (3) Bei Verstößen gegen diese AGB oder sonstigem rechtswidrigen oder missbräuchlichem Verhalten hat weholi insbesondere folgende Sanktionsmöglichkeiten: - Verwarnung des Mitglieds,
    - Löschung von Inhalten, insbesondere Inseraten,
    - Zeitweise Einschränkung des Nutzungsumfangs: Der Nutzungsumfang der Mitgliedschaft wird eingeschränkt. Bspw. kann das Mitglied keine neuen Inhalte, insbesondere Inserate mehr veröffentlichen.
    - Dauerhafte Sperrung und außerordentliche Kündigung: Bei einer dauerhaften Sperrung wird die Zugangsberechtigung des Mitglieds gesperrt und der Vertrag außerordentlich von weholi gekündigt. Das Mitglied wird hierüber per E-Mail benachrichtigt. Eine dauerhafte Sperrung ist nur bei schwerwiegenden Verstößen gegen die AGB oder gesetzliche Vorschriften möglich. Hierzu gehören insbesondere die Angabe falscher Kontaktdaten, wiederholte Verstöße gegen diese AGB oder gesetzliche Vorschriften, insbesondere trotz Verwarnung, betrügerisches Verhalten und erhebliche Schädigungen anderer Mitglieder. In der Regel ist eine dauerhafte Sperrung nur nach vorheriger Verwarnung des Mitglieds möglich.

Bei den einzelnen Sanktionen wird weholi die berechtigten Interessen der Mitglieder angemessen berücksichtigen, insbesondere ob diese ein Verscholden trifft.

9. Vermieten
  • (1) Je nach Leistungsumfang seiner Mitgliedschaft kann das Mitglied (in diesem Abschnitt "Vermieter") eigene Urlaubsprodukte oder Urlaubsprodukte Dritter vermieten.
  • (2) Um Urlaubsprodukte einstellen zu können, muss der Vermieter verschiedene Daten eingeben. Hierzu gehören zwingend eine Beschreibung mit Angaben zum Ort, zur Kapazität, zur Größe und zu den wesentlichen Eigenschaften, der angebotene Buchungszeitraum sowie der Preis mit allen Preisbestandteilen. Der Vermieter kann zudem Bilder seines Urlaubsproduktes einstellen. Der Vermieter ist für die Präsentation des Urlaubsprodukts und die Einhaltung etwaiger gesetzlicher (Informations-)Vorschriften alleine verantwortlich. Der Vermieter darf nach einem verbindlichen Angebot oder einer Anfrage eines anderen Mitglieds keinen höheren Preis als den im Inserat ausgewiesenen Preis verlangen.
  • (3) Vor der Erstellung einer Anzeige muss das Mitglied bestätigen, dass es zur Vermietung des Urlaubsproduktes berechtigt ist. Vor Veröffentlichung des Urlaubsproduktes auf dem Portal kann der Vermieter alle Angaben auf einer Übersichtsseite kontrollieren. Anschließend wird das Urlaubsprodukt auf die Plattform eingestellt. Hierbei handelt es sich um kein rechtsverbindliches Angebot.
  • (4) Der Vermieter ist verpflichtet, auf Buchungsanfragen anderer Mitglieder innerhalb von 48 Stunden zu reagieren. Andernfalls wird die Buchungsanfrage automatisch abgelehnt. Um das verbindliche Buchungsangebot eines anderen Mitglieds anzunehmen, muss der Vermieter auf die Schaltfläche "akzeptieren" in seinem Postfach klicken. Hierdurch kommt ein rechtsverbindlicher Mietvertrag zwischen dem Vermieter und dem anderen Mitglied zu Stande.
  • (5) Sobald der Mietvertrag geschlossen wurde, wird der Vermieter in den "Completion Room" geleitet. Je nach Wahl des Mitglieds muss die Vertragsabwicklung (Änderung von Kontaktdaten, Angabe einer Reservierungsnummer etc.) dann entweder individuell oder geführt erfolgen.
  • (6) Sobald der Vermieter die Zahlung des Mitglieds erhalten hat, muss er seinem Resort o.ä. die Daten des Mitglieds mündlich oder schriftlich mitteilen und dem Mitglied anschließend die Booking Reservation Nummer übermitteln.

10. Mieten
  • (1) Wenn ein Mitglied ein Urlaubsprodukt eines anderen Mitglieds (des Vermieters) mieten möchte, muss es in dem Inserat auf die Schaltfläche "zahlungspflichtig buchen" klicken. Das Mitglied gibt hierdurch ein rechtsverbindliches Buchungsangebot ab. Mit der Abgabe dieses Angebots erklärt sich das Mitglied zudem mit der Geltung etwaiger vom Vermieter hinterlegter AGB einverstanden. Der Vermieter kann dieses Angebot ablehnen oder annehmen. Das Mitglied erhält eine entsprechende Benachrichtigung in sein Postfach. Nimmt der Vermieter das Angebot des Mitglieds an, kommt ein rechtsverbindlicher Mietvertrag zwischen dem Mitglied und dem Vermieter zu standen. Möchte das Mitglied noch kein rechtsverbindliches Angebot auf Abschluss eines Mietvertrages abgeben, kann es die Kontaktfunktion in dem Inserat nutzen.
  • (2) Nach Vertragsschluss wird das Mitglied zur Abwicklung des Mietvertrages (z.B. Adressangaben, Anzahl der Personen, Zahlungen etc.) in den "Completion Room" geleitet. Hier kann es sich entweder für eine individuelle oder für eine geführte Abwicklung entscheiden.
  • (3) Professional-Mitglieder können ihre Inserate auch so gestalten, dass das Mitglied bei einem Klick auf die Schaltfläche "zahlungspflichtig buchen" auf eine eigene Webseite des Professional-Mitglieds umgeleitet wird oder der Vertrag dann dort geschlossen wird. Für diesen Vertragsschluss können eigene Bestimmungen des Professional-Mitglieds gelten. weholi übernimmt hierfür keinerlei Haftung.

11. Zum Verkauf anbieten
  • (1) Je nach Leistungsumfang seiner Mitgliedschaft kann das Mitglied (in diesem Abschnitt "Verkäufer") eigene Urlaubsprodukte oder Urlaubsprodukte Dritter zum Verkauf anbieten. Ein Kaufvertrag kann über das Portal nicht geschlossen werden, sondern es können lediglich Inserate aufgegeben werden.
  • (2) Um Urlaubsprodukte zum Verkauf anbieten zu können, muss der Verkäufer verschiedene Daten eingeben. Hierzu gehören zwingend eine Produktbeschreibung sowie ein unverbindlicher Preis. Der Verkäufer kann zudem Bilder seines Urlaubsproduktes einstellen. Der Verkäufer ist für die Präsentation des Urlaubsprodukts und die Einhaltung etwaiger gesetzlicher (Informations-)Vorschriften alleine verantwortlich.
  • (3) Vor der Erstellung einer Anzeige muss das Mitglied bestätigen, dass es zum Verkauf des Urlaubsproduktes berechtigt ist. Vor Veröffentlichung des Urlaubsproduktes auf dem Portal kann der Verkäufer alle Angaben auf einer Übersichtsseite kontrollieren. Anschließend wird das Urlaubsprodukt auf dem Portal eingestellt. Hierbei handelt es sich um kein rechtsverbindliches Kaufangebot.
  • (4) Wenn sich ein anderes Mitglied für das Urlaubprodukt des Verkäufers interessiert und diesen kontaktiert, können das Mitglied und der Verkäufer untereinander den Vertrag aushandeln. Der Verkäufer ist verpflichtet, innerhalb von 48 Stunden auf Anfragen von Mitgliedern zu reagieren. Andernfalls wird die Anfrage automatisch abgelehnt.

12. Mit Verkäufer in Kontakt treten
  • (1) Auf dem Portal werden von anderen Mitgliedern (in diesem Abschnitt "Verkäufer") verschiedene Urlaubsprodukte zum Verkauf angeboten. Ein rechtsverbindlicher Kaufvertrag kann jedoch nicht auf dem Portal geschlossen werden. Bei den angebotenen Urlaubsprodukten handelt es sich lediglich um unverbindliche Inserate der Verkäufer.
  • (2) Wenn sich ein Mitglied für ein Verkaufsprodukt interessiert, kann es mit dem Verkäufer in Kontakt treten und das Mitglied und der Verkäufer können untereinander den Vertrag aushandeln.

13. Tauschen
  • (1) Je nach Leistungsumfang ihrer Mitgliedschaft können Mitglieder eigene Urlaubsprodukte oder Urlaubsprodukte Dritter miteinander tauschen. Die Urlaubsprodukte werden jedoch nicht endgültig übertragen, sondern lediglich für den angegebenen Zeitraum an den Tauschpartner vermietet (Miettausch). Ein Tausch ist dabei immer nur zwischen zwei Mitgliedern möglich. Das eine Mitglied mietet also das Urlaubsprodukt des anderen Mitglieds und andersrum. Eine darüber hinausgehende Zahlung bzw. ein Wertausgleich zwischen den Urlaubsprodukten findet auf dem Portal nicht statt.
  • (2) Um ein Urlaubsprodukt eintauschen zu können, muss das Mitglied zunächst ein Urlaubsprodukt zum Tausch anbieten. Um Urlaubsprodukte einstellen zu können, muss das Mitglied verschiedene Daten eingeben. Hierzu gehören zwingend eine Beschreibung mit Angaben zum Ort, zur Kapazität, zur Größe und zu den wesentlichen Eigenschaften sowie der angebotene Tauschzeitraum. Das Mitglied kann zudem Bilder seines Urlaubsproduktes einstellen. Das Mitglied ist für die Präsentation des Urlaubsprodukts und die Einhaltung etwaiger gesetzlicher (Informations-)Vorschriften alleine verantwortlich.
  • (3) Vor der Erstellung einer Anzeige muss das Mitglied bestätigen, dass es zum Tausch des Urlaubsproduktes berechtigt ist. Vor Veröffentlichung des Urlaubsproduktes auf dem Portal kann das Mitglied alle Angaben auf einer Übersichtsseite kontrollieren. Anschließend wird das Urlaubsprodukt auf dem Portal eingestellt. Hierbei handelt es sich um kein rechtsverbindliches Angebot.
  • (4) Wenn ein Mitglied sein Urlaubsprodukt gegen das zum Tausch angebotene Urlaubsprodukt eines anderen Mitglieds eintauschen möchte, muss es in dem Inserat des anderen Mitglieds auf die Schaltfläche "verbindlich tauschen" klicken. Das Mitglied gibt hierdurch ein rechtsverbindliches Tauschangebot ab. Mit der Abgabe dieses Angebots erklärt sich das Mitglied zudem mit der Geltung etwaiger vom anderen Mitglied hinterlegter AGB einverstanden. Im Anschluss daran muss das Mitglied dann auswählen, welches eigene Inserat es dem anderen Mitglied zum Tausch anbieten möchte. Möchte das Mitglied noch kein rechtsverbindliches Tausch-Angebot abgeben, kann es die Kontaktfunktion in dem Inserat nutzen.
  • (5) Das andere Mitglied ist verpflichtet, auf das Tauschangebot des Mitglieds innerhalb von 48 Stunden zu reagieren. Andernfalls wird die Anfrage automatisch abgelehnt. Um das verbindliche Tauschangebot des Mitglieds anzunehmen, muss das andere Mitglied auf die Schaltfläche "verbindlich tauschen" in seinem Postfach klicken. Hierdurch kommt ein rechtsverbindlicher (Miet-)Tauschvertrag zwischen dem Mitglied und dem anderen Mitglied zu Stande.
  • (6) Nach Vertragsschluss werden beide Mitglieder zur Abwicklung des Tauschvertrages (z.B. Adressangaben, Anzahl der Personen) in den "Completion Room" geleitet. Hier können sie sich entweder für eine individuelle oder für eine geführte Abwicklung entscheiden.

14. Completion Room

Die Nutzung des Completion Rooms ist freiwillig und geschieht auf eigene Gefahr. Es handelt sich um ein Angebot zur leichten Vertragsabwicklung. Der Vertragsschluss erfolgt jedoch bereits vorher entsprechend den vorstehenden Vorschriften.

15. Preise, Zahlungen zwischen den Mitgliedern
  • (1) Mitglieder können in den von ihnen eingestellten Inseraten den von ihnen gewünschten Preis in einer der zur Verfügung stehenden Währungen angeben (im Folgenden "Angebotswährung"). Andere Mitglieder, die sich für das Inserat interessieren, können sich durch eine entsprechende Funktion des Portals den Preis der Angebotswährung in einer anderen zur Verfügung stehenden Währung (z.B. der Heimatwährung des anderen Mitglieds) anzeigen lassen (im Folgenden "angezeigte Währung"). Für diese automatische Währungsumrechnung verwendet weholi industrieweit anerkannte Wechselkurse. Den Mitgliedern ist bewusst, dass es sich bei dem Preis in der angezeigten Währung lediglich um eine unverbindliche Information handelt. Verbindlich zu zahlen ist der Preis der Angebotswährung. Auf Grund von schwankenden Wechselkursen, auf die weder weholi noch die Mitglieder Einfluss haben, kann dies dazu führen, dass der Betrag im Zahlungszeitpunkt von dem Betrag der angezeigten Währung zum Zeitpunkt des Vertragsschlusses nach oben oder unten abweicht.
  • (2) Die jeweils angezeigten Preise enthalten zudem keine Wechselgebühren, die von den Banken der Mitglieder möglicherweise gesondert erhoben werden und auf die weholi keinen Einfluss hat. Zu derartigen Gebühren können sich die Mitglieder bei ihren Banken informieren.
  • (3) Zahlungen und Zahlungsbedingungen in Bezug auf Verträge zwischen den Mitgliedern sind von diesen zu regeln und durchzuführen.
  • (4) weholi nimmt keine Zahlungen der Mitglieder für andere Mitglieder entgegen und ist auch sonst in die Zahlungsvorgänge zwischen den Mitgliedern nicht eingebunden. weholi bietet den Mitgliedern durch die technische Einbindung des Zahlungsdienstes PayPal die Möglichkeit, Zahlungen durchzuführen. Die Mitglieder müssen hierbei ggf. die Nutzungsbedingungen von PayPal akzeptieren.

16. Haftung

weholi haftet für entstehende Schäden lediglich, soweit diese auf einer Verletzung einer wesentlichen Vertragspflicht oder auf einem vorsätzlichen oder grob fahrlässigen Verhalten von weholi, gesetzlichen Vertretern oder Erfüllungsgehilfen von weholi beruht. Wird eine wesentliche Vertragspflicht leicht fahrlässig verletzt, so ist die Haftung von weholi auf den vorhersehbaren vertragstypischen Schaden begrenzt. Eine wesentliche Vertragspflicht ist bei Verpflichtungen gegeben, deren Erfüllung die ordnungsgemäße Durchführung des Vertrages erst möglich macht oder auf deren Einhaltung das Mitglied vertraut hat und vertrauen durfte. Eine darüber hinausgehende Haftung auf Schadensersatz ist ausgeschlossen. Die Haftung wegen scholdhafter Verletzung von Leben, Körper oder Gesundheit nach den gesetzlichen Bestimmungen bleibt unberührt.

17. Datenschutz
  • (1) Zu den Qualitätsansprüchen von weholi gehört es, verantwortungsbewusst mit den personenbezogenen Daten der Mitglieder umzugehen. Die Datenschutzrichtlinie von weholi kann hier eingesehen werden. Die sich aus der Anmeldung auf dem Portal sowie aus der Nutzung der verfügbaren Dienste ergebenden personenbezogenen Daten werden von weholi daher nur erhoben, gespeichert und verarbeitet, soweit dies zur vertragsgemäßen Leistungserbringung erforderlich und/oder durch gesetzliche Vorschriften erlaubt, oder vom Gesetzgeber angeordnet ist. weholi wird personenbezogene Daten vertraolich sowie entsprechend den Bestimmungen des geltenden Datenschutzrechts behandeln.
  • (2) Darüber hinaus verwendet weholi personenbezogene Daten nur, soweit das Mitglied hierin ausdrücklich eingewilligt hat. Eine erteilte Einwilligung kann jederzeit widerrufen werden.

18. Verhaltenskodizes

weholi hat sich folgenden Verhaltenskodizes unterworfen, die auf den genannten Internetadressen abgerufen werden können:

19. Änderungen der AGB

weholi behält sich das Recht vor, diese AGB jederzeit ohne Angabe von Gründen zu ändern, soweit dies für die Mitglieder nicht unzumutbar ist. Änderungen können insbesondere wegen technischer Weiterentwicklungen oder anderen Gründen notwendig werden. Vor Inkrafttreten der geänderten AGB wird weholi die Mitglieder über die beabsichtigten Änderungen informieren. Die Mitglieder haben das Recht, der Geltung der neuen AGB innerhalb von zwei Wochen nach der Benachrichtigung zu widersprechen. Übt ein Mitglied dieses Recht nicht aus, gelten die geänderten AGB als von ihm angenommen, wenn und soweit weholi das Mitglied in der Ankündigung auf sein Widerspruchsrecht und die Bedeutung der Widerspruchsfrist hingewiesen hat.

20. Sonstiges
  • (1) Der mit dem Mitglied geschlossene Vertrag unterliegt deutschem Recht. Für eventuelle Streitigkeiten aus dem Vertrag sind die Gerichte in der Schweiz ausschließlich zuständig.
  • (2) Diese AGB enthalten sämtliche Vertragsbestimmungen. Mündliche oder schriftliche Nebenabreden bestehen nicht.
  • Änderungen dieses Vertrages bedürfen der Schriftform. Dies gilt auch für das Schriftformerfordernis.
  • (3) Sollten einzelne Bestimmungen dieses Vertrages unwirksam oder undurchführbar sein oder nach Vertragsschluss unwirksam oder undurchführbar werden, bleibt die Wirksamkeit des Vertrages im Übrigen unberührt. Die Vertragsparteien verpflichten sich, die unwirksame oder undurchführbare Bestimmung durch eine wirksame und durchführbare Regelung zu ersetzen, deren Wirkungen der wirtschaftlichen Zielsetzung am nächsten kommen, die die Vertragsparteien mit der unwirksamen bzw. undurchführbaren Bestimmung verfolgt haben. Die vorstehenden Bestimmungen gelten entsprechend für den Fall, dass sich der Vertrag als lückenhaft erweist.
  • (4) Mitgliedern ist es untersagt, Rechte aus dem Vertrag mit weholi ganz oder teilweise an Dritte abzutreten.
